Our board believes that sound corporate governance practices and policies provide an important framework to assist them in fulfilling their duty to stockholders. Our board is working to adopt and implement many "best practices" in the area of corporate governance, including separate committees for the areas of audit and compensation, maintenance of a majority of independent directors and written expectations of management and directors, among other things.
We have also adopted a Code of Business Conduct and Ethics that contains a number of provisions that apply principally to our chief executive officer, chief financial officer and other key accounting and financial personnel.
